These General Terms and Conditions (“Terms” or “Agreement”) apply to the website and platform located at https://livo.systems, including all services, products, and content provided by LIVOSYSTEMS (collectively referred to as “LIVOSYSTEMS ” “we,” “us,” or “our”) through its platform (the “Platform”). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use the Platform.

1. General Information

1.1 Platform Operator:

The Platform is operated by LIVOSYSTEMS SIA, a company registered in Latvia with registration number [40203459329]. All rights related to the Platform, including intellectual property rights, belong to LiVOSYSTEMS SIA unless specified otherwise.

1.2 Legislation:

The laws of Latvia apply to these Terms, including all disputes that may arise from the use of the Platform or the provision of services by LIVOSYSTEMS. 

2. Registration and Use of the Platform

2.1 Eligibility:

To use the services offered by LIVOSYSTEMS, must be at least 18 years old and possess the legal capacity to enter into binding agreements. If you are registering as a business entity, you must be duly authorized to represent that entity.

2.2 Registration Process:

You are required to create an account (“User Account”) by providing accurate and complete information, including a valid email address and other necessary details. Your email address and password will serve as login credentials for your User Account.

The registration process includes submission of:

* Full name and surname

* Latvian or international personal identification number (where applicable)

* Residential address

* Proof of address (e.g., utility bill or official letter)

* Valid passport or national ID document

* Email address and code-based verification

LivoSystems reserves the right to deny or revoke access to any applicant or user at its sole discretion and without justification.

4. User Verification and Access

All users undergo a **manual review process**. Only after successful completion of identity checks and verification will a user be granted access to deposit funds or participate in any investment-related activity.

2.3 Account Security:

You are solely responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your User Account. If you suspect any unauthorized access to your account, you must immediately notify LIVOSYSTEMS.

2.4 Prohibited Jurisdictions:

You may not register for or use the Platform if you are located in or a resident of any jurisdiction where the use of the Platform or the Services violates applicable laws or regulations, or if you are subject to any economic sanctions or trade restrictions imposed by Latvia or any other relevant authority.

3. User Conduct and Obligations

3.1 Legal Compliance:

You agree to comply with all applicable laws, regulations, and ordinances when using the Platform, including those related to data protection, privacy, intellectual property, and anti-money laundering.

3.2 Prohibited Activities:

You shall not engage in any activity that is illegal, harmful, or disruptive to the Platform or other users. This includes, but is not limited to, the use of the Platform for fraudulent activities, attempting to access unauthorized parts of the Platform, or any activity that violates the rights of others.

3.3 Accuracy of Information:

You agree to provide accurate, current, and complete information when registering for an account and using the Platform. You are responsible for updating any changes to your registration information.

3.4 While the Operator will take all necessary steps to ensure the accuracy and reliability of the information published on the Portal, the Operator shall not be held liable for any incorrect or misleading information posted on the Portal, nor for any violations occurring or continuing through the Portal that the Operator is unaware of, or for which it has already taken corrective measures to address the misinformation, terminate the violation, or resolve the consequences.

3.5 The Operator shall not be held responsible for the accuracy or completeness of information received from third parties if it is forwarded or disclosed on the Portal in the same format in which it was provided to the Operator. If a User identifies any incorrect information on the Portal, they are required to notify the Operator as soon as possible.

3.6 If a User causes damages to the Operator by violating any of the obligations, the User shall be obliged to fully compensate the respective damages to the Operator at first request.

3.7 The information provided on the Portal does not constitute an offer or solicitation to purchase investment advice, products, or services. It also does not represent an offer to sell such items to individuals in jurisdictions where such offers or advertisements are prohibited or restricted by law, nor to individuals for whom such offers or advertisements would be unlawful. By visiting the Portal, Users do so voluntarily and accept all associated risks. Users are also responsible for ensuring compliance with all relevant laws, rules, and regulations applicable to them.

3.8 When making transactions on the Portal, each User is responsible for assessing the suitability and risks involved. If needed, Users should seek guidance from qualified advisors with expertise in the relevant area.

4. Services Provided

4.1 Platform Services:

4.2 Service Availability:

 4.3 The Operator LIVO SYSTEMS will not be liable to the User for any loss or damage which the User may suffer as a result of the Website or Portal being unavailable at any time for any reason.

 4.4 The Operator reserves the right to unilaterally amend and supplement the Terms and Conditions at any time, including the restriction or addition of Portal usage options.

4.5 The Operator may make changes in the Portal, including expanding, changing, or removing its functions, at its own discretion at any time without asking permission of the User or giving prior notice to the Users. Among other, the Operator may terminate the operation of the Portal at its own discretion at any time.

5. User Data and Privacy

5.1 Data Collection:

By using the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy. The data we collect will be used for purposes including providing services, improving the Platform, and complying with legal requirements.

5.2 Data Security:

LIVOSYSTEMS implements security measures to protect your personal data from unauthorized access, alteration, disclosure, or destruction. However, we cannot guarantee the security of your data on the internet.

5.3 Third-Party Services:

In some cases, LIVOSYSTEMS may use third-party services for purposes such as payment processing, analytics, or email marketing. These third-party services will handle your data in accordance with their own privacy policies.

6. Payments and Transactions

6.1 Pricing:

All fees and prices for services provided on the Platform are displayed on the respective pages. Prices may be subject to change, and such changes will be communicated to you in advance if any.

6.2 Payment Methods:

You can pay for services using the payment methods specified on the Platform. You agree to provide accurate payment information when making transactions.

7. Intellectual Property

7.1 Ownership:

All content, trademarks, logos, graphics, and software on the Platform are the property of LIVOSYSTEMS and are protected by intellectual property laws. You are granted a limited, non-exclusive, and non-transferable license to use the Platform for its intended purpose.

7.2 Restrictions:

You may not copy, modify, distribute, or create derivative works based on any content or intellectual property on the Platform without prior written consent from Lindal.

8. Limitation of Liability

8.1 General Limitation:

LIVOSYSTEMS is responsible for safeguarding all funds received from investors and will be held liable for these funds in relation to all closed projects on the platform.

8.2 Platform Availability:

LIVOSYSTEMS does not guarantee uninterrupted or error-free access to the Platform. We are not responsible for any outages, delays, or technical issues that may occur.

8.3 LIVOSYSTEMS Account is not a checking, savings or any other type of account, and is therefore not covered by any insurance against losses.

8.4 LIVOSYSTEMS l is not a depository institution, and LIVOSYSTEMS account is not a deposit account. Funds in a LIVOSYSTEMS Account are not insured in any jurisdiction by any deposit insurance scheme or any securities investor protection corporation.

8.5 LIVOSYSTEMS will not withhold or file any taxes unless required to do so by law. LIVOSYSTEMS is not responsible for determining whether taxes apply to a User’s transactions, nor for collecting, reporting, or remitting any taxes related to those transactions. It is the User’s sole responsibility to ensure compliance with applicable tax laws, and to report and pay any taxes arising from their transactions on the Platform.

9. Termination and Suspension

9.1 Termination by User:

You may terminate this Agreement at any time by closing your User Account. Termination will not affect any obligations or liabilities incurred prior to termination.

9.2 Termination by LIVOSYSTEMS 

LIVOSYSTEMS reserves the right to suspend or terminate your access to the Platform if we believe you have violated these Terms or engaged in fraudulent or illegal activities.

10. Modifications to the Terms

10.1 Changes to the Terms:

LIVOSYSTEMS may modify or update these Terms at any time. Any changes will be posted on this page, and the date of the latest revision will be updated. Continued use of the Platform after changes to these Terms will constitute your acceptance of the modified terms in 1 month period.

11. Governing Law and Dispute Resolution

11.1 Governing Law:

These Terms are governed by and construed in accordance with the laws of Latvia.

11.2 Dispute Resolution:

Any disputes arising out of or in connection with these Terms shall be resolved through [mediation/arbitration], as applicable under the laws of Latvia.

13. Legal Nature of Platform

LivoSystems is a private, project-based informational platform operated for the exclusive purpose of presenting initiatives and ventures developed by entities within the Livo Group. The platform does not offer investment services to the public and does not facilitate crowdfunding, investment brokerage, or the operation of a regulated investment platform as defined by Regulation (EU) 2020/1503.

The content presented on this website, including descriptions of business opportunities or project developments, shall not be interpreted as an offer of securities or public invitation to invest. All participation opportunities are limited to verified, registered users, and are only offered through private placement structures or co-ownership arrangements with affiliated project companies.

15. Not a Crowdfunding Service Provider

LivoSystems does not act as a crowdfunding service provider under the ECSP Regulation. The platform does not match third-party project owners with external investors, nor does it collect, manage, or transfer investor funds. All featured projects are initiated and controlled by the Livo Group and offered privately without solicitation to the general public.

16.Risk Disclaimer

Participation in any project or initiative may involve financial risk. Users are solely responsible for conducting their own due diligence. No guarantees are made regarding potential returns, and all information on the platform is for informational purposes only and does not constitute financial advice.

17. Access Restriction

**Private Access and Investor Verification**

Access to investment-related materials, financial information, or project participation opportunities on the LivoSystems platform is strictly limited to individuals who have undergone a manual verification process and been approved by the platform operator.

LivoSystems does not make any investment offerings available to the general public. All participation is by private invitation only, and subject to approval at the sole discretion of the platform operator. Users must complete a registration process and may be required to submit identifying information, including but not limited to, proof of identity and country of residence.

By applying for access, you acknowledge that:

* You are not being publicly solicited or invited to invest;

* You are requesting private access to internal project opportunities;

* LivoSystems is not operating as a crowdfunding service provider under Regulation (EU) 2020/1503;

* All investment-related participation is conducted through affiliated entities and does not involve third-party project fundraising.

LivoSystems reserves the right to decline or revoke access to any user at any time without justification. The use of this platform does not establish any entitlement to investment or partnership opportunities unless explicitly approved in writing.
